1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Moonline, Inc. ("Moonline," "we," "us," or "our") governing your use of the Dr. Moonline and Mr. Moonline AI receptionist services (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Service Description

Moonline provides an AI-powered receptionist service that:

- Answers phone calls 24/7 on your behalf

- Responds to SMS messages from your customers

- Provides a website chat widget for customer inquiries

- Schedules appointments and integrates with your calendar

- Sends appointment confirmations and reminders

The Service is designed for healthcare practices (Dr. Moonline) and small businesses (Mr. Moonline) who need professional after-hours and overflow call handling.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the authority to bind your business to these Terms.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Service Plans and Pricing

4.1 Available Plans

Dr. Moonline: $799/month (Healthcare practices)

Mr. Moonline: $799/month (Small businesses)

4.2 Free Trial

New customers receive a 14-day free trial. No charge will occur until the trial period ends. You may cancel during the trial without obligation.

4.3 Billing

- Subscriptions are billed monthly in advance

- Payment is processed via Stripe

- You authorize us to charge your payment method on file

- Prices may change with 30 days' notice

4.4 Refunds

Moonline does not provide refunds for partial months. If you cancel, you retain access through the end of your current billing period.

5. Fair Use Policy

5.1 Purpose

Moonline pricing is designed for single-location businesses with typical communication volumes. This Fair Use Policy ensures service quality for all customers and prevents abuse by high-volume users.

5.2 Monthly Usage Limits

Dr. Moonline:

Voice Minutes: 1,000 minutes

SMS Messages: 2,500 messages

Chat Messages: 10,000 messages

Proactive Callbacks: 100 callbacks

Mr. Moonline:

Voice Minutes: 1,000 minutes

SMS Messages: 2,500 messages

Chat Messages: 10,000 messages

Proactive Callbacks: 100 callbacks

5.3 Exceeding Limits

If you exceed the monthly limits:

First Occurrence: We will notify you and your service continues uninterrupted

Second Occurrence: We will contact you to discuss your usage needs

Consistent Overage: You will be required to upgrade to Enterprise pricing

5.4 Enterprise Pricing

Customers who consistently exceed fair use limits, operate multiple locations on a single account, or require custom integrations must contact us for Enterprise pricing at [email protected].

5.5. Prohibited Uses

The following are strictly prohibited and may result in immediate termination:

- Operating multiple business locations under a single subscription

- Reselling or sublicensing the Service

- Using the Service for automated marketing or spam calls

- Intentionally generating artificial usage

- Sharing account credentials with unauthorized parties

6. Customer Responsibilities

You agree to:

- Provide accurate business information for AI training

- Keep your knowledge base current and accurate

- Inform your customers that calls may be handled by AI

- Comply with all applicable laws regarding call recording and SMS consent

- Use the Service only for legitimate business purposes

7. SMS Communication and Consent

7.1 Appointment Notifications

The Service sends SMS messages to your customers for:

- Appointment confirmations

- Appointment reminders

- Pre-call notifications ("Is now a good time to talk?")

7.2 Customer Consent Collection

When your customers interact with the Moonline AI receptionist:

- During phone calls, customers verbally consent to receive SMS notifications when booking appointments

- During website chat, customers consent by providing their phone number for appointment booking -

- Via SMS, customers who initiate text conversations consent to receive responses and appointment-related messages

7.3 Opt-Out

All SMS messages include instructions to reply STOP to unsubscribe from future messages. Customers may also opt out by informing your business directly.

7.4 Message Frequency and Charges

Customers typically receive 1-3 messages per appointment. Standard message and data rates may apply based on their carrier plan.

8. AI Limitations and Disclaimer

8.1 AI Accuracy

While we strive for accuracy, the AI may occasionally:

- Misunderstand caller requests

- Provide incomplete information

- Fail to handle complex or unusual situations

- You are responsible for monitoring AI performance via the dashboard and updating your knowledge base as needed.

8.2 Not a Replacement for Professional Advice

The AI receptionist provides scheduling and information services only. It does not provide medical, legal, financial, or other professional advice.

8.3 Emergency Situations

The Service is not designed for emergency situations. Callers with emergencies should be directed to call 911 or appropriate emergency services.

9. Intellectual Property

9.1 Moonline Property

The Service, including all software, algorithms, designs, and documentation, is owned by Moonline and protected by intellectual property laws.

9.2 Your Content

You retain ownership of your business information, knowledge base content, and customer data. You grant Moonline a license to use this content to provide the Service.

8.3 Emergency Situations

The Service is not designed for emergency situations. Callers with emergencies should be directed to call 911 or appropriate emergency services.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Service Availability

11.1 Uptime Target

We target 99.9% uptime for the Service. Scheduled maintenance will be announced in advance when possible.

11.2 No Guarantee

We do not guarantee uninterrupted service. Factors outside our control (internet outages, third-party service disruptions) may affect availability.

12. Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOONLINE SHALL NOT BE LIABLE FOR:

- Indirect, incidental, special, consequential, or punitive damages

- Loss of profits, revenue, data, or business opportunities

- Damages exceeding the fees paid by you in the 12 months preceding the claim

13. Indemnification

You agree to indemnify and hold harmless Moonline, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

- Your use of the Service

- Your violation of these Terms

- Your violation of any third-party rights

- Content you provide to the Service

14. Termination

14.1 Termination by You

You may cancel your subscription at any time through the dashboard or by contacting support. Cancellation takes effect at the end of your current billing period.

14.2 Termination by Moonline

We may suspend or terminate your account immediately if you:

- Violate these Terms

- Fail to pay fees when due

- Engage in fraudulent or illegal activity

- Abuse the Fair Use Policy after warning

14.3 Effect of Termination

Upon termination:

- Your access to the Service ends

- Your phone number may be released after 30 days

- You may request data export within 30 days of termination

- We may delete your data after 30 days

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

15.2 Arbitration Agreement

Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in California, and the arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Moonline.

16.2 Modifications

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use constitutes acceptance.

16.3 Governing Law

These Terms are governed by the laws of California, without regard to conflict of law principles.
